The company has publicly filed a registration statement (the “Registration Statement”) with the SEC, for which the SEC review process is on-going. The Registration Statement review process may result in changes to the financial statements, related notes and other information reflected in the first quarter disclosures as well as the currently filed Registration Statement (and subsequent amendments) and these changes could be material.
The Registration Statement will register securities of the company held by certain holders that are a party to the Registration Rights Agreement that was entered into by the company and such holders in connection with the 2018 restructuring. Other holders of the company’s securities may seek to sell their securities pursuant to an exemption from registration, including pursuant to Rule 144, when available.
